Project Development & Finance

ULC has developed a strong practice in the project finance area, drafting and designing the most appropriate legal vehicles for the desired transaction, including the implementation of local and offshore facilities. Working on a day-to-day basis with many of the largest law firms around the world; our attorneys have developed the necessary knowledge and experience to make ULC the perfect match for international law firms that need the advice of a local counsel for these types of transactions.

Since its inception, ULC has been involved in project finance transactions. We act as counsel to projects, developers, owners, lenders, subordinated lenders, vendors and operators.

In our role as project counsel, we work with all the participants necessary to the development, construction, financing and operation of a project financed facility. In other situations, we act for other project participants. For example, we represent developers in establishing projects and arranging for the participation of others essential to the project.

ULC is one of the few major Pakistani-based law firms with a wholly integrated construction practice. The experience of our construction lawyers makes us more cognizant of the relationship of construction to financing projects.

In connection with financing projects, we represent senior lenders and subordinated lenders; commercial banks, industrial development agencies and banks, insurance companies and other types of institutional, non-bank lenders; vendors who have provided equity and subordinated financing in the context of their supply arrangements; and true equity participants.

ULC is experienced in combining its international legal and project finance experience with local counsel to form a team capable of meeting the needs of any project.

ULC’s finance lawyers’ broad experience exposes them to the full spectrum of legal and business issues that shape complex financing and investment transactions. They combine in-depth knowledge of various industries with financing skills to help structure, document and close domestic and cross-border transactions. We advise on a full range of secured and unsecured financings, including asset-based in project finance, clients call on us for early project development matters related to bidding, contracting and regulatory work, structuring a project’s commercial contracts to support financing objectives, and for tax and local matters.
